SUPPLY - Domains will be registered in the Customer's name or their company name.
- Sites will be hosted by Scotsfox. If hosted elsewhere all invoices must be paid in full before the site is uploaded to the server.
- Only information on electronic media (floppy disk/zip disk/CDR/CDRW) will be accepted for inclusion in a Web site unless previously agreed. Alternative arrangements will be subject to additional charges.
- Scotsfox reserves the right to refuse to publish material supplied by a customer that is illegal or breaches copyright.
- The customer will not knowingly use Scotsfox services to receive or transmit material that is obscene, threatening, menacing, offensive, defamatory, in breach of confidence or in breach of copyright or any other third party intellectual property rights or is otherwise contrary to any applicable law or regulation.
CHARGES - All charges will be as set out in the quotation on which this agreement is made.
- All invoices will be due for immediate payment.
- If payment is later than 14 days all discounts applied will be forfeited.
- Scotsfox reserves the right to terminate site design and hosting if payments are not made on due dates and to recover any costs associated with late or non payment of sums due under this agreement.
TERMINATION - The customer may terminate their contract and have their site removed from the Web at any time upon written request and payment of all monies at that date owing to Scotsfox. Please note you MUST contact me to terminate a site - I will assume that a site is to continue unless I am informed otherwise.
- Scotsfox reserves the right to terminate the contract upon giving 14 days notice of any such termination.
- Scotsfox reserves the right to remove a site if payments are not met within 30 days of invoice. Sites will be reinstated when balance is paid in full, inclusive of any reconnection charge and late payment surcharge.
- If a site is removed from the Web due to late payment, reconnection is subject to a charge of £100.00
VARIATION & AGREEMENT - Scotsfox holds the right to amend this agreement and will give the customer written notice of any such variation.
LIMITATION OF LIABILITY AND INDEMNITY - In no event will Scotsfox be liable for loss, theft, corruption or destruction of data and the loss of profits, business or anticipated savings, whether incurred directly or indirectly, or for any other consequential damages, arising from the use of or inability to use services or products supplied by Scotsfox.
- The customer will (without prejudice to the other rights and remedies of Scotsfox) indemnify, defend and hold harmless Scotsfox in full against all losses, costs, damages, charges, expenses and other liabilities, awarded against or incurred by Scotsfox as a result of, or in connection with, any claim made against Scotsfox by any other person in respect of use of any service provided by Scotsfox, by the customer or any other person.
- The customer will promptly inform Scotsfox fully and in writing of any actual threatened or suspected claims or proceedings which come to the customer's notice arising from the customers use of any service provided by Scotsfox. Where the customer has notified Scotsfox under this Condition, Scotsfox will take such action as it deems reasonable. The customer undertakes with Scotsfox, that it will, at the request of Scotsfox do all such things as may be reasonably required to assist Scotsfox in defending or resisting any proceedings.
- The provisions of this Condition (LIMITATION OF LIABILITY AND INDEMNITY) will survive termination of the agreement.
DATA PROTECTION - Scotsfox reserves the right to put the customer's name and any other relevant information from the Web Site Agreement into a database for internal use only.
- Scotsfox reserves the right to use the customer's name in any published list of clients, and include links to the customer's Web pages on the Scotsfox Web site.
FORCE MAJEURE - Neither party will be liable for delay in meeting or for failure to meet its obligations under the contract due to any cause outside its reasonable control including (without limitation) Acts or God, war, riot, malicious acts of damage, fires, acts of government authority, failure of the public electricity supply, failure or delay beyond its reasonable control or the lack of availability of materials.
CONTRACT - These Terms & Conditions represent the entire agreement between all parties in relation to the services to be provided
JURISDICTION - This agreement will be governed by Scottish Law and the parties submit to the Jurisdiction of the Scottish courts.
